BY ENGAGING WITH OR UTILIZING OUR WEBSITES AND OUR SERVICES, YOU CONSENT TO BE OBLIGATED BY THESE TERMS AND ALL TERMS EMBEDDED HEREWITH BY REFERENCE. IF YOU DO NOT WHOLEHEARTEDLY ACCEPT EACH OF THE TERMS AND STIPULATIONS, THEN REFRAIN FROM ACCESSING OR USING OUR WEBSITES OR SERVICES. THIS “USER AGREEMENT” IS APPLICABLE EFFECTIVE FROM 10/01/2017.


ACKNOWLEDGMENT OF TERMS

The subsequent User Agreement (referred to as "TOS") stands as a lawful contract that will guide the association with our users and others who may engage or communicate with Znet Flooring LLC, situated at 4775 West Teco Avenue, Suite 105, Las Vegas, Nevada 89118, including our subsidiaries and affiliates, pertaining to the utilization of our website. This includes Znet Flooring LLC ("ZnetFlooring.com", "Znet Flooring LLC", "Znet Flooring", "Znet", "the site", "our site", "we", "our", "us") and its services, which shall be characterized further.


DESCRIPTION OF ONLINE SERVICES PROVIDED

ZnetFlooring.com operates as an online marketplace offering a wide range of products including flooring, flooring supplies, carpeting, area rugs, accessories, and tools. Every visitor to our website, regardless of registration status, shall be regarded as a "user" as per the scope of the services described within this TOS. Upon registration for our services via the creation of an account, such users will henceforth be referred to as "members".

Users and/or members understand and agree that services delivered through our website and applications, which may encompass mobile applications available on various social media platforms and other downloadable programs, remain the exclusive property of Znet Flooring LLC. Znet Flooring LLC reserves the right to introduce additional services and/or products, or amend, update, or revise any existing content and services at its discretion, and this agreement will apply to all such additional or altered services unless explicitly stated otherwise. Znet Flooring LLC also holds the right to terminate any of the services and/or products aforementioned. You, as the end user and/or member, accept that Znet Flooring LLC shall not be liable for any updates, modifications, revisions, suspensions, or discontinuation of our services and/or products. Your ongoing use of the provided services, post any updates or changes, indicates your acceptance of these modifications, and we recommend regular review of this agreement and all applicable terms and policies to stay informed about the current terms and policies in effect. If you disagree with the modified terms, you must cease use of our services.

Moreover, the user and/or member acknowledges that the services are provided on an "AS IS" basis, and therefore, Znet Flooring LLC disclaims any responsibility for the punctuality, missed delivery, deletion, or any failure to store user content, communication, or personalized settings.

SHIPPING, DELIVERY, AND CUSTOMER PICK-UP POLICIES

CUSTOMER PICK-UP LIABILITY DISCLAIMER

Please read this disclaimer thoroughly before initiating a customer pick-up order (referred to as "will-call") at our warehouse using your personal vehicle. By participating in a transaction with a will-call location selected, you acknowledge and consent to the following terms:

  1. Vehicle Ownership and Maintenance: You certify that you are the lawful owner of the vehicle used for the will-call order, and that it is maintained in a safe and roadworthy condition. You understand that ensuring the vehicle adheres to all applicable safety standards, inclusive of valid registration, insurance, and maintenance standards, is solely your responsibility.

  2. Cargo Loading and Securing: You understand and accept that the proper loading, securing, and protection of the ordered items within your personal vehicle is your responsibility. You acknowledge that Znet Flooring LLC cannot be held liable for any damages, losses, or injuries that may occur due to incorrect loading, securing, or handling of the cargo.

  3. Verification of Products and Quantity: You commit to inspecting and verifying the products and quantity of the will-call order at the time of pick-up. It is critical to document any damages or missing items on the delivery receipt or any other provided documentation promptly. You acknowledge and accept that the labels affixed to the packaging accurately represent the contents at the time of pick-up, and these contents should correspond to any samples you may have previously reviewed (unless a discrepancy due to mislabeling of the sample has occurred). Should any discrepancies be discovered, you are to immediately notify Znet Flooring LLC.

  4. Release of Liability: In consideration of being permitted to pick up the will-call order using your personal vehicle, you release Znet Flooring LLC, along with its employees, agents, and affiliates from any liability, claims, demands, actions, or causes of action stemming from or related to the will-call order. This includes, but is not limited to, accidents, property damage, or personal injury, irrespective of whether such claims emerge from the negligence of Znet Flooring LLC or any other involved party.

  5. Indemnification: You agree to indemnify and hold Znet Flooring LLC, along with its employees, agents, and affiliates harmless from any liabilities, costs, expenses, or damages, inclusive of legal fees, arising from any claims, demands, actions, or causes of action related to the will-call order or your use of your personal vehicle.

  6. Assumption of Risk: You acknowledge the inherent risks involved in transporting cargo using a personal vehicle, including but not limited to accidents, theft, and damage to the vehicle or cargo. You voluntarily assume all risks associated with the will-call order and agree that Znet Flooring LLC is not responsible for any such risks or their consequences.

  7. Compliance with Laws: You agree to abide by all applicable laws, rules, and regulations during the pick-up of the will-call order and operation of your personal vehicle. This includes, but is not limited to, traffic laws, vehicle regulations, and any other legal requirements mandated by relevant authorities.

By proceeding with a will-call pickup at our designated locations, you acknowledge that you have read, understood, and agreed to all the terms and conditions outlined in the relevant documents. If any part of these terms and conditions is unacceptable to you, do not proceed with the pickup order.

LESS THAN TRUCKLOAD (LTL) SHIPMENT DISCLAIMER

Please carefully read this disclaimer before initiating any Less Than Truckload (LTL) shipment to residential and commercial locations. By proceeding with a LTL shipment, you acknowledge and agree to the following terms:

  1. Shipment Conditions: You understand that LTL shipments entail the transportation of goods from the point of origin to the specified residential or commercial destination. You acknowledge that such shipments may be subjected to handling, loading, unloading, and transshipment during the transportation process.

  2. Third-Party Carriers: You acknowledge that the LTL shipment may be transported by third-party carriers who will be responsible for the safe transportation and delivery of goods. These third-party carriers may have their own terms and conditions that govern their services, and you agree to adhere to these terms when applicable.

  3. Liability Limitations: You understand and agree that Znet Flooring LLC shall not be liable for any damages, losses, delays, or errors that may occur during the transportation, handling, loading, unloading, or transshipment of the LTL shipment. This includes, but is not limited to, damages caused by accidents, theft, natural occurrences, negligence, or any other circumstances beyond Znet Flooring LLC's control.

  4. Residential Delivery: You understand that for residential shipments, delivery will be strictly curbside and not indoors. Delivery trucks will not enter driveways, and shipments will not be manually unloaded from the delivery vehicle. It is your responsibility to make necessary arrangements to receive and transport the shipment from the curbside to your preferred location within your premises. You acknowledge the driver's discretion in determining if the delivery site presents hazardous conditions, or if delivery should be rescheduled for safety reasons. In such instances, you agree to cooperate with the driver's instructions and to arrange for a secure and successful delivery.

  5. Verification of Products and Quantity: Upon delivery, you agree to diligently inspect the received products, confirming that their nature and quantity align with the details provided on the corresponding invoice or purchase order. You acknowledge and accept that the labels affixed to the packaging accurately represent the contents at the time of delivery, and these contents should correspond to any samples you may have previously reviewed (unless a discrepancy due to mislabeling of the sample has occurred). Any discrepancies should be promptly reported to Znet Flooring LLC. In cases of significant inconsistencies, refusal of the shipment is an acceptable response.

  6. Claims and Disputes: In the event of damage, loss, or disputes arising from the LTL shipment, you agree to notify Znet Flooring LLC and the respective carrier promptly. You understand that all claims must adhere to the carrier's terms and conditions and that Znet Flooring LLC may assist in the claims process but cannot guarantee any specific resolution. Further, you agree to document any damages in DETAIL on the delivery receipt at the time of delivery, and capture clear and accurate photos of all damaged items as evidence for the claims process. You agree not to mark the delivery receipt with "subject to inspection", as failure to comply may result in claim denial.

    Moreover, you agree to retain the damaged shipment, including all damaged items, for a period of up to 90 days from the date of delivery, or until Znet Flooring LLC or the authorized carrier provides written authorization for disposal. This allows for inspections, investigations, or further actions required for the claims resolution process. Non-compliance may result in the denial of any claims related to the shipment.

  7. Refusal of Damaged Shipments: In the event that you identify considerable damage to your shipment upon delivery, you are entitled to refuse all or part of the shipment. Should you opt to refuse the shipment due to such damages, it is imperative to clearly detail on the delivery receipt which items were refused and the associated reasons for refusal. Additionally, it is recommended to substantiate your refusal with photographic evidence of the damage. Immediately communicate this refusal and related details to both the carrier and Znet Flooring LLC to ensure the swift resolution of any associated claims. Please be aware that refusal should only occur in instances of significant damage, as defined by the terms of the carrier and Znet Flooring LLC.

  8. Compliance with Laws: You agree to comply with all applicable laws, regulations, and requirements governing the transportation of goods for LTL shipments. This includes, but is not limited to, customs, import/export regulations, and any other relevant laws or regulations of the origin and destination locations.

By proceeding with a LTL shipment to residential and commercial locations, you acknowledge that you have read, understood, and agreed to all the terms and conditions outlined in this disclaimer. Should any part of this disclaimer be unacceptable to you, do not proceed with the shipment order.

PARCEL SHIPMENT DISCLAIMER

Please read this disclaimer carefully before initiating any parcel shipments with Znet Flooring LLC using carriers such as FedEx, UPS, and others. By proceeding with the shipment, you acknowledge and consent to the following terms:

  1. Verification of Products and Quantity: You agree to inspect and verify the products and the quantity of the shipment at the time of delivery. It is your responsibility to ensure that the received products and quantity match the invoice or purchase order. You acknowledge and accept that the labels affixed to the packaging accurately represent the contents at the time of delivery, and these contents should correspond to any samples you may have previously reviewed (unless a discrepancy due to mislabeling of the sample has occurred). You understand the importance of documenting any damages or missing items on the delivery receipt provided by the carrier.

  2. Documentation of Damages or Missing Items: You agree to document any damages or missing items on the delivery receipt at the time of delivery and to take clear and accurate photos of all damaged items as evidence. In the case of any discrepancies or damages, you will immediately contact Znet Flooring LLC to report the issue.

  3. Holding Damaged Shipment: You understand that if the shipment arrives damaged, you must retain the damaged shipment, including all damaged items, for a period of up to 90 days from the date of delivery or until Znet Flooring LLC or the authorized carrier provides written authorization for disposal. This allows for inspection, investigation, and potential resolution of the claim.

  4. Residential Delivery: You acknowledge that for residential deliveries, the driver has discretion in determining if the delivery site presents unsafe conditions, or if rescheduling the delivery date is necessary for safety reasons. You agree to cooperate with the driver's instructions and to make appropriate arrangements for a safe and successful delivery.

  5. Liability Limitations: You understand and agree that Znet Flooring LLC shall not be held liable for any damages, losses, delays, or errors that may occur during the parcel shipment. This includes, but is not limited to, damages caused by accidents, theft, acts of nature, negligence, or any other circumstances beyond the control of Znet Flooring LLC or the carrier.

  6. Claims and Disputes: In the event of any damage, loss, or dispute arising from the parcel shipment, you agree to promptly notify Znet Flooring LLC and the respective carrier. You understand that any claims must be filed in accordance with the carrier's terms and conditions, and that Znet Flooring LLC may assist in facilitating the claims process but cannot guarantee any specific outcome or resolution.

By proceeding with a parcel shipment, you acknowledge that you have read, understood, and agreed to all the terms and conditions outlined in this disclaimer. If you do not agree with any part of this disclaimer, do not proceed with the shipment order.

PRODUCT VERIFICATION PRIOR TO INSTALLATION

As the purchaser, it is imperative that you, the company, or person acting on your behalf verify that the product received matches your order and any provided or viewed samples, prior to initiating the installation process. This includes, but is not limited to, ensuring the labels on the packaging correspond to what was ordered and cross-referencing the received products with any samples that you may have viewed. It's essential to acknowledge the possibility of a mislabeling error in the sample and ensure that the actual product aligns with your expectations.

By commencing with the installation process, you are implicitly confirming that the products received are accurate and meet your requirements. Once the installation process has started, you are considered to have fully accepted and taken ownership of the products installed regardless of accuracy.

In the event that a floor is cut, installed, or more than one box is opened, full refunds may no longer be viable. It is therefore crucial to verify the products against your order and any provided or viewed samples before proceeding with the installation.

Znet Flooring LLC cannot be held responsible for any labor costs associated with the installation of an incorrect product. This applies to any installer involved, whether they are the customer, a contractor, or a third party hired by the customer. It is the responsibility of the person purchasing and the person or company installing the flooring to ensure the accuracy of the product before the installation process commences.

In the case of product discrepancies, contact Znet Flooring LLC immediately, and refrain from initiating the installation process until the issue is resolved to your satisfaction.

MEMBERSHIP REGISTRATION

To become a "member" of the Site, you must be at least 18 years old and capable of entering into a legally enforceable contract. Additionally, you should be in good standing, not having been barred from receiving services under the laws and statutes of the United States or other relevant jurisdictions.

Furthermore, as a registrant, you understand, acknowledge, and agree to:

1) Provide truthful, accurate, current, and complete information about yourself as prompted by the registration process, and

2) Regularly update your registration and profile information to maintain its accuracy and completeness.

If it is discovered that any information provided is untrue, inaccurate, false, or incomplete, Znet Flooring LLC reserves the right to suspend or remove the offending member, and as such, deny any and all current or future use of Znet's services, or any portion thereof.

Znet places the utmost importance on the safety and privacy of all its visitors, users, and members, especially children. Therefore, only users who are 18 years of age or older may register as members. Children are not permitted to register as members, and their parents or legal guardians will need to register if they wish to utilize our services.

All user and member data are handled in accordance with our Privacy Policy, which can be found HERE. We strongly recommend all users and members to review our Privacy Policy to understand how we collect, use, and protect your information.

MEMBER ACCOUNT, USERNAME, PASSWORD, AND SECURITY

Upon successful registration and creation of your username, password, and account designation, the responsibility for safeguarding the confidentiality of your password and monitoring all activities that occur within your account rests with you. Should you detect any unauthorized access or use of your account and/or password or any other security breach, it is your responsibility to notify Znet Flooring LLC immediately. Znet Flooring LLC will not be held accountable for any loss or damage resulting from non-compliance with this aspect of the TOS.


INTERSTATE COMMUNICATIONS

Upon registration, you hereby understand that by using Znet Flooring LLC to initiate electronic communications, which may include but are not limited to searches, emails, instant messages, and uploads of files, photos, and/or videos, you will be triggering communications to pass through our computer network. Hence, by your use, and your agreement with this TOS, you are acknowledging that the use of this service will lead to interstate transmissions.


GUIDELINES FOR GLOBAL USE AND EXPORT AND IMPORT COMPLIANCE

Given the global reach of the internet, you agree, through the use of our network, to abide by all local rules regarding online conduct and acceptable content. The uploading, posting, and/or transferring of software, technology, and other technical data may be subject to the export and import laws of the United States and potentially other countries. By using our network, you agree to comply with all relevant export and import laws, statutes, and regulations, including but not limited to the Export Administration Regulations (http://www.access.gpo.gov/bis/ear/ear_data.html), and the United States' sanctions control program (http://www.treasury.gov/resource-center/sanctions/Programs/Pages/Programs.aspx). Further, you declare and promise that you:

1) Are not on the list of individuals prohibited from exporting, which may be identified on any government export exclusion report (http://www.bis.doc.gov/complianceandenforcement/liststocheck.htm) nor a member of any other government that may be part of a country prohibited from exporting as identified in applicable export and import laws and regulations;

2) Will not use our website network services for any military, nuclear, missile, chemical, or biological weaponry end uses that would violate U.S. export laws; and

3) Will not transfer any software, technology, or any other technical data through the use of our network services to any country prohibited from exporting;

4) Will not post, transfer, nor upload any software, technology, or any other technical data that would violate U.S. or other applicable export and/or import laws.


CONTENT CONTRIBUTED OR MADE AVAILABLE FOR COMPANY SERVICES

Znet Flooring LLC does not claim ownership over any content submitted by any visitor, member, or user, nor will such content be made available for inclusion on our website services without appropriate permissions. Hence, you hereby grant Znet Flooring LLC the following worldwide, royalty-free, and non-exclusive licenses, as applicable:

1) For photos, audio, video, and/or graphics submitted or made available for inclusion on the publicly accessible areas of Znet Flooring LLC's sites, you provide us with a license to use, distribute, reproduce, modify, adapt, publicly perform, and/or publicly display said Content on our network services. The sole purpose of this license is to support and promote the specific area where this content was placed and/or made available for viewing. This license remains valid as long as you are a member of Znet Flooring LLC's sites and will terminate when you choose to discontinue your membership.

2) For other content submitted or made available for inclusion on the publicly accessible areas of Znet Flooring LLC's sites, you grant a continuous, binding, and fully sub-licensable license permitting the use, distribution, reproduction, modification, adaptation, publication, translation, public performance, and/or public display of said content, in whole or in part. The term "publicly accessible" areas of Znet Flooring LLC's sites refers to areas of our network properties that are intended to be accessible to the general public, including but not limited to message boards and groups that are freely available to visitors and members. Areas that are not open to the public and are available only to members include our instant messaging and mail system.


INDEMNIFICATION

All users and/or members hereby agree to indemnify and hold Znet Flooring LLC, our subsidiaries, affiliates, agents, employees, officers, partners, and/or licensors harmless or exempt from any claim or demand, which may include, but is not limited to, reasonable legal fees resulting from any third party due to or arising out of such user's or member's content submitted, posted, modified, transmitted, or otherwise made available through our services, use of the services, connection to the services, violation of the Terms of Service, or violation of any rights of another person.

COMMERCIAL USE RESTRICTIONS

Members or users herein agree not to reproduce, duplicate, copy, trade, sell, resell, or exploit for any commercial purposes any part, use of, or access to Znet Flooring LLC's sites.

USAGE AND STORAGE GUIDELINES

You hereby acknowledge that Znet Flooring LLC may establish practices and/or limits concerning the use of our services, without limitation of the maximum number of days that any email, message post, or any other uploaded content shall be retained by Znet Flooring LLC, nor the maximum number of email messages that may be sent and/or received by any member, the maximum size or volume of any email message that may be sent from or may be received by an account on our Service, the maximum disk space allowable that shall be allocated on Znet Flooring LLC's servers on the member's behalf, and/or the maximum number of times and/or duration that any member may access our services in a given period of time. Additionally, you agree that Znet Flooring LLC has no responsibility or liability for the removal or failure to maintain storage of any messages and/or other communications or content maintained or transmitted by our services. You also acknowledge that we retain the right to delete or remove any account that is no longer active for an extended period of time. Furthermore, Znet Flooring LLC retains the right to change, alter, and/or update these general practices and limits at our discretion.

Any messaging service, which may include web-based versions, enables you and the individuals you communicate with to save your conversations in your account located on Znet Flooring LLC's servers. This way, you can access and search your message history from any computer with internet access. You also acknowledge that others have the option to use and save conversations with you in their personal account on Znet Flooring LLC. Your agreement to this TOS constitutes your consent to allow Znet Flooring LLC to store any and all communications on its servers.

SERVICE MODIFICATIONS

Znet Flooring LLC reserves the right at any time, as it deems appropriate, to alter, modify, suspend, or discontinue, whether temporarily or permanently, our service, or any part thereof, with or without prior notice. In addition, we shall not be held liable to you or to any third party for any such alteration, modification, suspension, or discontinuance of our services, or any part thereof.

ACCOUNT TERMINATION

As a member of Znet Flooring LLC, you may cancel or terminate your account, associated email address and/or access to our services by submitting a termination on our contact form.

You agree that Znet Flooring LLC may, without any prior written notice, immediately terminate, limit, suspend or discontinue your account, any email associated with your account, and access to any of our services. Reasons for such termination, discontinuance, suspension, and/or limitation of access may include, but are not limited to:

1) Any breach or violation of our TOS or any other incorporated agreement, regulation, and/or guideline;

2) The discontinuance, alteration, or material modification to our services, or any part thereof;

3) Extended periods of inactivity;

4) Unexpected technical or security issues and/or problems;

5) The nonpayment of any associated fees that may be owed by you in connection with your Znet Flooring LLC account services;

6) Any engagement by you in any fraudulent or illegal activities; and/or

7) Requests from law enforcement or any other governmental agencies.

Furthermore, you acknowledge that any and all suspensions, terminations, discontinuances, and/or limitations of access for cause shall be made at our sole discretion and that we shall not be liable to you or any other third party with regards to the termination of your account, associated email address, and/or access to any of our services.

The termination of your account with Znet Flooring LLC will involve any and/or all of the following:

1) The prevention of any further use of all or part of our services;

2) The removal of any access to all or part of the services offered within Znet Flooring LLC;

3) The deletion of your password and any and all related information, files, and any such content that may be associated with or inside your account, or any part thereof.


ADVERTISERS

Any correspondence or business dealings with, or participation in promotions of, advertisers found on or through our services, which may include the payment and/or delivery of such related goods and/or services, and any such other term, condition, warranty, and/or representation associated with such dealings, are and shall be solely between you and any such advertiser. You agree that Znet Flooring LLC shall not be responsible or liable for any loss or damage of any sort incurred as the direct result of any such dealings or as a result of the presence of such advertisers on our website.

Znet Flooring LLC or any third parties may provide links to other websites and/or resources. Therefore, you acknowledge and agree that we are not responsible for the availability of any such external sites or resources, and we do not endorse nor are we responsible or liable for any content, products, advertising, or any other materials, on or available from such third-party sites or resources. Furthermore, you acknowledge and agree that Znet Flooring LLC shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such site or resource.

PROPRIETARY RIGHTS

You acknowledge and agree that Znet Flooring LLC's services and any essential software used in connection with our services ("Software") contain proprietary and confidential material that is protected by applicable intellectual property rights and other laws. Further, you acknowledge and agree that any content in any advertisements or information presented by and through our services or by advertisers is protected by copyrights, trademarks, patents, or other proprietary rights and laws.

Therefore, except for that which is expressly permitted by applicable law or as authorized by Znet Flooring LLC or the applicable licensor, you agree not to alter, modify, lease, rent, loan, sell, distribute, transmit, broadcast, publicly perform, and/or create derivative works based on Znet Flooring LLC's services (e.g., Content or Software), in whole or part.

Znet Flooring LLC has granted you personal, non-transferable, and non-exclusive rights and/or a license to use the object code of our Software on a single computer, provided you do not, and shall not, allow any third party to duplicate, alter, modify, create derivative works from, reverse compile, reverse engineer, or otherwise attempt to locate or discern any source code, sell, assign, sublicense, grant a security interest in, and/or otherwise transfer any right in the Software.

Further, you agree not to alter or change the Software in any way, and not to use any modified versions of the Software, including (without limitation) for the purpose of obtaining unauthorized access to our services. Finally, you agree not to access or attempt to access our services through any means other than through the interface provided by Znet Flooring LLC for use in accessing our services.


WARRANTY DISCLAIMERS

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

1) Your use of Znet Flooring LLC's services and software is at your sole risk. Our services and software are provided on an "as is" and "as available" basis. Znet Flooring LLC and our subsidiaries, affiliates, officers, employees, agents, partners, and licensors expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of title, merchantability, fitness for a particular purpose, and non-infringement.

2) Znet Flooring LLC and our subsidiaries, officers, employees, agents, partners, and licensors make no warranty that (a) our services or software will meet your requirements; (b) our services or software will be uninterrupted, timely, secure, or error-free; (c) the results that may be obtained from the use of our services or software will be accurate or reliable; (d) the quality of any products, services, information, or other material purchased or obtained by you through our services or software will meet your expectations; and (e) any errors in the software will be corrected.

3) Any advice or information, whether oral or written, obtained by you from Znet Flooring LLC or through or from our services or software shall not create any warranty not expressly stated in the TOS.

Both you and Znet Flooring LLC agree to submit to binding arbitration as the final means of dispute resolution. Arbitration proceedings shall be administered by the American Arbitration Association (AAA) in accordance with its applicable rules and procedures, and shall take place in Clark County, Nevada.

By agreeing to arbitration, you understand and agree that you are waiving your right to maintain other available resolution processes, such as a court action or administrative proceeding, to settle disputes. You also waive your right to a jury trial. Your agreement to this arbitration provision is voluntary.


NO WAIVER

No waiver of any term of this TOS shall be deemed a further or continuing waiver of such term or any other term, and Znet Flooring LLC's failure to assert any right or provision under this TOS shall not constitute a waiver of such right or provision.

SEVERABILITY
